3.3 Nature of Information

All information, strategies, roadmaps, and recommendations provided by Security53 are for general informational and coordination purposes only. They are based on our understanding of publicly available information, market conditions, and the experiences of prior engagements at the time of delivery. This information does not constitute professional advice and should not be relied upon as a substitute for consultation with licensed professionals in the relevant fields.

We make no representation or warranty that any information contained in our Deliverables is accurate, complete, current, or applicable to your specific circumstances. Regulations, policies, and procedures in the UAE and your home jurisdiction may change without notice, and Security53 is under no obligation to update previously delivered materials.

04 Regulatory Disclaimer

Security53 is not licensed, registered, or regulated by any financial services authority, legal regulatory body, immigration authority, or tax authority in the UAE or any other jurisdiction. We operate as a coordination and information services firm only.

Our engagement with you does not create a fiduciary relationship, attorney-client relationship, tax advisor-client relationship, or any other professional advisory relationship that would be subject to regulatory oversight.

Any regulated services you require (including but not limited to tax advice, legal advice, immigration applications, corporate formation, banking applications, and real estate transactions) will be provided solely by licensed Execution Partners under separate agreements between you and those Execution Partners. Security53 is not a party to those agreements and bears no liability for the acts, omissions, advice, or outcomes of any Execution Partner.

You acknowledge and agree that you are responsible for independently verifying any information provided by Security53, conducting your own due diligence on any Execution Partner, and obtaining professional advice appropriate to your circumstances before making any decisions regarding relocation, corporate structuring, tax residency, or asset allocation.

05 Client Eligibility

By engaging our services, you represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into binding agreements.

  • All information you provide to Security53 is accurate, complete, and not misleading.

  • You are not engaging our services for any purpose that is unlawful in the UAE, your country of residence, your country of citizenship, or any other applicable jurisdiction.

  • Your funds and assets are derived from lawful sources, and you are not seeking our services for the purposes of money laundering, terrorist financing, sanctions evasion, tax evasion, fraud, or any other criminal activity.

  • You are not listed on any international sanctions list, including those maintained by the UN, EU, OFAC (US), or the UAE.

  • You will promptly inform Security53 of any material change in your circumstances that may affect the Services or the accuracy of information previously provided.

Security53 reserves the right to decline or terminate any engagement at its sole discretion, without liability, if we have reason to believe that any of the above representations are or have become inaccurate.

06 Engagement Structure & Fees

6.1 Engagement Tiers

Security53 offers services through structured advisory packages ("Tiers"), the specifics of which are described on our website and in individual proposals. Tiers may include, but are not limited to: Residency Strategy (Tier 1), Relocation Coordination (Tier 2), and Executive Advisory (Tier 3). The scope, deliverables, timelines, and pricing for each Tier are defined in your specific engagement proposal.

6.2 Fees and Payment

All fees are quoted in the currency specified in your engagement proposal (typically EUR, USD, or AED). Fees are due in accordance with the payment schedule outlined in your proposal. Unless otherwise specified, a non-refundable deposit is required to commence the engagement.

Fees are exclusive of any taxes, duties, or levies imposed by any government authority, which shall be your sole responsibility. Security53 does not collect or remit VAT on behalf of clients unless explicitly stated.

6.3 Refund Policy

Due to the bespoke, information-intensive nature of our services, all fees are generally non-refundable once work has commenced. "Commencement" is defined as the delivery of any initial analysis, strategy session, or Deliverable, whichever occurs first.

If Security53 is unable to deliver the agreed-upon services due to circumstances within our control, we will offer a pro-rated credit toward future services or a partial refund at our discretion. Security53 shall not be liable for refunds where failure to deliver is caused by factors outside our control, including delays by Execution Partners, government authorities, or the Client.

6.4 Referral Commissions

Security53 may receive referral commissions, introductory fees, or other compensation from Execution Partners when a client engagement results in a successful introduction. This compensation model is disclosed to you in the interest of transparency. It does not affect the objectivity of our recommendations, and you are under no obligation to engage any referred Execution Partner.

07 Third-Party Execution Partners

A core component of our service is introducing you to licensed Execution Partners who provide regulated services. You acknowledge and agree to the following:

  • Security53 curates its network of Execution Partners through commercially reasonable due diligence, but does not guarantee the qualifications, competence, reliability, availability, pricing, or outcomes of any Execution Partner.

  • Any agreement you enter into with an Execution Partner is a separate, independent contract between you and that Execution Partner. Security53 is not a party to, nor guarantor of, any such agreement.

  • Security53 shall not be liable for any loss, damage, delay, error, omission, or misconduct by any Execution Partner, whether or not that Execution Partner was introduced by Security53.

  • You are solely responsible for conducting your own due diligence on any Execution Partner before engaging their services, including verifying their licenses, qualifications, and regulatory standing.

  • If you experience any issue with an Execution Partner, your recourse is directly with that Execution Partner and not with Security53, except where Security53 has been grossly negligent in its introduction.

Execution Partners may include, but are not limited to: free zone service agents, mainland PRO services, immigration consultants, corporate service providers, banking relationship managers, real estate brokers, insurance agents, international tax advisors, and legal professionals.

08 Client Obligations

To enable Security53 to perform its services effectively, you agree to:

  • Provide accurate, complete, and timely information as reasonably requested, including personal identification documents, corporate records, financial disclosures (where relevant to coordination), and any other materials necessary for the engagement.

  • Respond to communications from Security53 within a reasonable timeframe. Delays in client responsiveness may result in delays in service delivery, for which Security53 shall bear no liability.

  • Attend scheduled calls, meetings, and consultations as agreed. Repeated no-shows or cancellations may result in forfeiture of scheduled sessions without refund.

  • Independently verify all information and recommendations before acting upon them, and obtain professional advice from licensed advisors in all regulated domains.

  • Comply with all applicable laws and regulations in your home jurisdiction, the UAE, and any other relevant jurisdiction throughout the engagement.

  • Not use any information, Deliverables, or introductions provided by Security53 for any unlawful purpose.

  • Not share or redistribute Security53 Deliverables, strategy documents, partner contacts, or proprietary methodologies to any third party without prior written consent.

09 Intellectual Property

All Deliverables, frameworks, templates, processes, methodologies, systems, and materials created or used by Security53 remain the exclusive intellectual property of Security53 unless explicitly assigned in writing.

Upon full payment of all applicable fees, you are granted a non-exclusive, non-transferable, revocable license to use your specific Deliverables for your personal or internal business purposes only. This license does not extend to reproduction, distribution, modification, public display, or commercial exploitation of any Deliverables.

You may not reverse-engineer, copy, reproduce, distribute, sell, sublicense, or otherwise make available to any third party any part of Security53's proprietary processes, coordination frameworks, partner network details, or strategic methodologies.

Security53 retains the right to use anonymized, aggregated data from engagements for the purpose of improving services, generating case studies (without identifying details), and developing internal benchmarks.

10 Confidentiality

Both parties agree to maintain the confidentiality of all non-public information exchanged during the engagement ("Confidential Information"). Confidential Information includes, but is not limited to: personal and financial details disclosed by the Client, proprietary methodologies and partner terms maintained by Security53, and the terms of the engagement itself.

Neither party shall disclose Confidential Information to any third party without prior written consent, except:

  • To Execution Partners as reasonably necessary to perform the Services (with your consent, which may be given as part of the intake process).

  • To professional advisors under duties of confidentiality.

  • As required by law, regulation, court order, or government authority.

  • Where the information is or becomes publicly available through no fault of the receiving party.

Confidentiality obligations survive the termination of the engagement for a period of three (3) years.

11 Limitation of Liability

Please read this section carefully. It contains significant limitations on the liability of Security53.

To the maximum extent permitted by applicable law:

  • No Guarantee of Outcomes. Security53 does not guarantee any specific result, outcome, approval, or timeline. Relocation processes involve multiple government authorities, financial institutions, and third parties whose decisions are beyond our control. You acknowledge that all projections, estimates, and timelines are non-binding approximations only.

  • Exclusion of Indirect Damages. Security53 shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunities, cost of substitute services, or reputational harm, regardless of the cause of action or the theory of liability, even if Security53 has been advised of the possibility of such damages.

  • Cap on Direct Damages. Security53's total aggregate liability for any and all claims arising from or related to the engagement shall not exceed the total fees actually paid by you to Security53 under the specific engagement giving rise to the claim.

  • Third-Party Liability. Security53 shall bear no liability for the acts, omissions, advice, performance, delays, errors, or failures of any Execution Partner, government authority, financial institution, or other third party, whether or not introduced by Security53.

  • Reliance. Security53 shall bear no liability for any loss arising from your reliance on information provided by Security53 where you have failed to obtain independent professional advice as recommended.

  • Regulatory Changes. Security53 shall bear no liability for any loss arising from changes in laws, regulations, policies, or government practices in any jurisdiction that affect the viability, cost, or timeline of your relocation.

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by applicable law.

12 Indemnification

You agree to indemnify, defend, and hold harmless Security53, its owners, officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, costs, liabilities, and expenses (including reasonable legal fees) arising from or related to:

  • Your breach of these Terms or any representation or warranty made herein.

  • Your violation of any applicable law, regulation, or third-party right.

  • Your provision of inaccurate, incomplete, or misleading information.

  • Any dispute between you and an Execution Partner.

  • Any tax liability, penalty, or assessment arising from your relocation or corporate structuring decisions.

  • Any claim by a third party arising from your use of Security53's Deliverables or introductions.

13 Termination

13.1 Termination by Client

You may terminate the engagement at any time by providing written notice to Security53. Upon termination: (a) you shall pay all fees for services performed up to the date of termination; (b) any unused pre-paid fees may be credited or partially refunded at Security53's discretion, depending on the stage of the engagement; (c) Security53 shall have no further obligation to deliver services or Deliverables.

13.2 Termination by Security53

Security53 may terminate the engagement immediately, without liability, if: (a) you breach any material provision of these Terms; (b) you provide false or misleading information; (c) Security53 reasonably suspects that the engagement may involve unlawful activity; (d) you fail to make payment within 14 days of the due date; (e) continued engagement would, in Security53's sole judgment, pose a reputational, legal, or compliance risk.

13.3 Survival

The following sections survive termination: Regulatory Disclaimer, Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.

14 Force Majeure

Neither party shall be liable for any delay or failure to perform any obligation under these Terms where such delay or failure results from any cause beyond the reasonable control of that party, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, sanctions, government actions or orders, changes in law or regulation, internet outages, system failures, banking system disruptions, strikes, civil disturbances, power failures, or the acts or omissions of third parties (including Execution Partners and government authorities).

In the event of a Force Majeure event, the affected party shall promptly notify the other party and make commercially reasonable efforts to mitigate the impact and resume performance as soon as practicable.

15 Dispute Resolution

15.1 Negotiation

In the event of any dispute arising out of or relating to these Terms or the engagement, the parties shall first attempt to resolve the dispute through good faith negotiation. Either party may initiate this process by sending written notice to the other party describing the dispute in reasonable detail.

15.2 Mediation

If the dispute is not resolved within thirty (30) days of the initial written notice, either party may refer the dispute to mediation under the rules of the Dubai International Arbitration Centre (DIAC) or such other mediation body as the parties may agree.

15.3 Arbitration

If the dispute is not resolved through mediation within sixty (60) days of referral, either party may refer the dispute to binding arbitration under the DIAC Arbitration Rules. The arbitration shall be conducted in English, by a single arbitrator, in Dubai, United Arab Emirates. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

15.4 Costs

Each party shall bear its own costs in connection with any dispute resolution proceedings, unless the arbitrator orders otherwise.

16 Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of laws provisions. The courts of Dubai, UAE shall have non-exclusive jurisdiction over any matters not subject to arbitration under these Terms.

If any provision of these Terms is found to conflict with mandatory consumer protection laws of your home jurisdiction, such laws shall apply to the extent required, but only to the minimum extent necessary.

17 Amendments

Security53 reserves the right to modify these Terms at any time. Material changes will be communicated by email to active clients and posted on our website with an updated "Last updated" date. Your continued use of our services following any modification constitutes acceptance of the revised Terms.

For active engagements, the Terms in effect at the time of engagement commencement shall govern that engagement, unless you explicitly agree to updated Terms.
